Terms & Conditions

These Terms & Conditions ("Terms") govern all quotations, orders, and sales made by Carvera ("we", "us", "our", "the Company"), a furniture and home décor exporter based in India, to any buyer, client, or customer ("Buyer", "you") placing an order through carvera.in or through any other communication channel with us. By placing an order, the Buyer agrees to be bound by these Terms.

Terms & Conditions 

1. General

1.1 All quotations issued by Carvera are valid for 15 days from the date of issue, unless otherwise stated in writing.

1.2 Product images, dimensions, weights, and colours shown on our website or catalogues are representative and may vary slightly due to the handcrafted/natural nature of materials (wood, rattan, stone, metal, etc.). Minor variations shall not be considered a defect.

1.3 Carvera reserves the right to amend these Terms at any time. The Terms in effect at the time an order is confirmed shall apply to that order.
 

2. Order Confirmation

2.1 An order is considered confirmed only upon (a) written acceptance of the quotation/proforma invoice by the Buyer, and (b) receipt of the advance payment as specified in Clause 3.

2.2 Carvera reserves the right to accept, reject, or modify any order prior to confirmation, including in cases of pricing errors, material unavailability, or incomplete Buyer information.
 

3. Payment Terms

3.1 Advance Payment: 70% of the total order value shall be paid by the Buyer at the time of placing the order, prior to commencement of production/procurement.

3.2 Balance Payment: The remaining 30% of the total order value shall be paid prior to or at the time of loading of the goods onto the vessel/container for shipment. Goods will not be released for loading/export until this balance payment is received in full.

3.3 All payments shall be made via [bank wire transfer / Letter of Credit / as agreed] in the currency specified on the proforma invoice, to the bank account/details provided by Carvera. Bank charges on the remitting side shall be borne by the Buyer.

3.4 Any delay in payment of either instalment may result in a corresponding delay in production or shipment schedules, for which Carvera shall not be held liable.

3.5 Prices quoted are exclusive of applicable duties, taxes, tariffs, and levies in the Buyer's country unless explicitly stated otherwise.

4. Production & Lead Time

4.1 Estimated production/lead time will be communicated at the time of order confirmation and commences from the date of receipt of the advance payment (Clause 3.1).

4.2 Lead times are indicative and may be affected by factors including raw material availability, customization requirements, and factors under Clause 9 (Force Majeure).
 

5. Shipping, Delivery & Title

5.1 Unless otherwise agreed in writing, goods are supplied on FOB (Free on Board) basis from the nominated Indian port. Any alternate Incoterm (CIF, CFR, EXW, etc.) must be agreed in writing prior to order confirmation.

5.2 Risk in the goods passes to the Buyer upon loading onto the vessel at the port of shipment, in accordance with the applicable Incoterm.

5.3 Title to the goods shall remain with Carvera until full payment (100% of order value) has been received.

5.4 Carvera shall not be responsible for delays caused by shipping lines, customs authorities, port congestion, or other logistics factors beyond its reasonable control.

5.5 The Buyer is responsible for arranging import clearance, customs duties, and compliance with import regulations in the destination country, unless otherwise agreed.
 

6. Packaging

6.1 Goods will be packed using export-standard packaging (e.g., fumigated wooden crates/pallets as per ISPM-15, corrugated boxes, bubble wrap) suitable for sea freight, unless special packaging is requested by the Buyer at additional cost.
 

7. Quality, Inspection & Claims

7.1 The Buyer may request pre-shipment inspection (in person or via a third-party agency) at their own cost, to be arranged prior to loading.

7.2 Any claims regarding shortage, damage, or discrepancy must be raised in writing within 7 days of delivery at the destination port, accompanied by photographic evidence and the packing list/invoice reference. Claims raised after this period will not be entertained.

7.3 Carvera's liability for any valid claim is limited to repair, replacement, or credit note for the affected items, and shall not extend to consequential or incidental damages.

7.4 Minor variations in natural materials (grain, texture, colour tone) are inherent to handcrafted furniture and do not constitute a manufacturing defect.
 

8. Cancellations & Refunds

8.1 Orders may be cancelled by the Buyer only prior to commencement of production, subject to written confirmation from Carvera.

8.2 Where production/procurement has already commenced, the advance payment (Clause 3.1) is non-refundable, as it covers material procurement and labour costs already incurred.

8.3 Refunds, where applicable, will be processed within [X] business days and via the original mode of payment, less any costs already incurred by Carvera.
 

9. Force Majeure

Carvera shall not be liable for any delay or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, strikes, port closures, government restrictions, pandemics, raw material shortages, or shipping disruptions.
 

10. Intellectual Property

All designs, catalogues, images, and content on carvera.in are the property of Carvera and may not be reproduced, copied, or used without prior written consent.
 

11. Confidentiality

Pricing, designs, and business terms exchanged between Carvera and the Buyer shall be treated as confidential and not disclosed to third parties without mutual consent.
 

12. Governing Law & Dispute Resolution

12.1 These Terms shall be governed by and construed in accordance with the laws of India.

12.2 Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably. Failing amicable resolution, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Hyderabad, India, and the proceedings conducted in English.

12.3 Subject to the above, the courts at India shall have exclusive jurisdiction.
